We reserve the right to review, approve, suspend, or terminate wholesale accounts at any time if you violate our Minimum Advertised Price (MAP) policy, fail to meet Minimum Order Quantities (MOQ), or for any other business reason.

SECTION 2 - OUR PRODUCTS We have made every effort to provide an accurate representation of our products and services. However, colors or product appearance may differ due to device settings. We do not warrant that the appearance or quality will exactly match the digital rendering. All descriptions of products are subject to change at any time without notice at our sole discretion. We reserve the right to discontinue any product at any time.

SECTION 3 - ORDERS AND B2B PURCHASING When you place an order, you are making an offer to purchase. CouldNook reserves the right to accept or decline your order for any reason. 🚨 Wholesale Order Terms: For B2B and wholesale orders, we strictly enforce Minimum Order Quantities (MOQs) as stated on our platform. Wholesale orders are considered final sale. We do not accept returns for buyer's remorse on wholesale purchases. Claims for damaged or defective goods must be submitted in writing within 7 days of delivery. SECTION 4 - PRICES AND BILLING Prices, discounts and promotions are subject to change without notice. Unless otherwise expressly stated, posted prices do not include taxes, shipping, handling, customs or import charges. 🚨 Minimum Advertised Price (MAP): Wholesale buyers agree not to publicly advertise CouldNook products below our established MSRP without prior written consent.

SECTION 5 - SHIPPING AND DELIVERY While we strive to ensure timely arrivals, we cannot fully control unexpected carrier delays. Delivery timeframes provided are carefully estimated guidelines rather than guaranteed dates. Upon transferring your products to the carrier, the title and risk of loss officially transition to you; however, should any transit issues arise, our team remains committed to actively assisting you in navigating and resolving them. Please note that for international wholesale orders, the buyer is responsible for all applicable customs duties, taxes, and import clearance fees.

SECTION 6 - INTELLECTUAL PROPERTY & PRIVATE LABEL Our Services, including all trademarks, text, images, and designs, are owned by CouldNook. These Terms permit you to use the Services for your personal or authorized retail use. 🚨 OEM & Private Label Terms: If you engage CouldNook for Private Label or OEM manufacturing, you represent and warrant that you hold all legal rights to any logos, branding, or custom designs you provide to us. Conversely, any base formulations, mold designs, or original aesthetic concepts developed by CouldNook remain the exclusive intellectual property of CouldNook, unless explicitly transferred under a separate, signed exclusivity agreement.

SECTION 7 TO 11 - STANDARD SHOPIFY TERMS(The provisions regarding Optional Tools, Third-Party Links, Relationship with Shopify, Privacy Policy, and Feedback remain unchanged and are fully adopted as provided by Shopify's standard terms.)

SECTION 12 - ERRORS, INACCURACIES AND OMISSIONS Occasionally there may be information that contains typographical errors, inaccuracies or omissions relating to product descriptions, pricing, or availability. We reserve the right to correct any errors and to change or update information or cancel orders if any information is inaccurate at any time without prior notice.

SECTION 13 - PROHIBITED USES You may access and use the Services for lawful purposes only. You may not access or use the Services to violate any laws, infringe upon our intellectual property, harass others, transmit malicious code, or scrape data using automated tools. We reserve the right to terminate your account for violating any prohibited uses.
